1.Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and PublicNSA LLC dba BIGDBM, a Limited Liability Company formed in Florida, United States ("BIGDBM," "we," "us," or "our"), governing your access to and use of the BIGDBM website located at https://bigdbm.com and any related subdomains, data products, enrichment APIs, software, content, and services offered by BIGDBM (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and the term "you" refers to that entity.

If you do not agree to these Terms, you must immediately cease use of the Services and are not permitted to access or use them.

2.Description of Services

BIGDBM is a leading provider of identity intelligence solutions. Our Services include, but are not limited to:

  • Trusted Identity Graph — a continuously refreshed graph of consumer identity connections including names, addresses, phone numbers, email addresses, and device identifiers, enhanced with confidence scoring at the connection level.
  • Scored Identity Resolution — deterministic and probabilistic matching services that resolve disparate identifiers into unified consumer profiles with scored confidence outputs.
  • Real-Time Enrichment APIs — programmatic access to consumer and household attributes enabling real-time append, validation, and enrichment of first-party data.
  • Activation & Measurable Impact — audience building, data onboarding, and campaign measurement solutions enabling data-driven marketing activation.
  • Privacy-Compliant Data Operations — suppression, opt-out management, NCOA processing, and data hygiene services designed to support compliance with applicable privacy laws.
  • Data Products — licensed datasets available for download or delivery via the BIGDBM Data Storefront and related platforms.

BIGDBM reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3.Eligibility

The Services are intended solely for business-to-business use by legal entities and individuals acting in a professional commercial capacity. By using the Services, you represent and warrant that:

  • You are at least 18 years of age;
  • You are using the Services for lawful business purposes and not for any personal, family, or household purposes;
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent;
  • Your use of the Services does not violate any applicable law, regulation, or obligation to any third party; and
  • You are not located in, or a resident or national of, any country subject to a U.S. government embargo or designated as a "terrorist supporting" country.

BIGDBM reserves the right to refuse access to the Services to any person or entity at its sole discretion.

4.Accounts & Registration

Certain Services may require you to register for an account. When registering, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify BIGDBM immediately at support@bigdbm.com of any unauthorized use of your account or any other breach of security. BIGDBM will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

BIGDBM reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a risk to BIGDBM or its customers.

5.Permitted Use

Subject to these Terms and any applicable order form, statement of work, or Master Services Agreement ("MSA") executed between you and BIGDBM, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes and in accordance with the following conditions:

  • You may use data and outputs from the Services only for the purposes specified in your agreement with BIGDBM;
  • You must comply with all applicable federal, state, and local laws and regulations, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the California Consumer Privacy Act (CCPA/CPRA), and other applicable privacy and consumer protection laws;
  • You must maintain adequate security measures to protect data received from BIGDBM from unauthorized access, disclosure, or misuse;
  • You must honor all consumer opt-out and suppression requests in accordance with applicable law and in the timeframes required by BIGDBM's operational procedures; and
  • You must cooperate with BIGDBM in any audit of your data use practices upon reasonable notice.

6.Prohibited Use

You agree that you will not, and will not permit any third party to, use the Services or any data obtained through the Services to:

  • Discriminate against any individual on the basis of race, color, religion, sex, national origin, age, disability, sexual orientation, or any other characteristic protected by applicable law;
  • Engage in deceptive, misleading, or fraudulent marketing or advertising practices;
  • Contact individuals in violation of the TCPA, CAN-SPAM, or any applicable do-not-call, do-not-mail, or opt-out requirement;
  • Facilitate identity theft, fraud, unauthorized account access, or any other unlawful activity;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, trade secrets, or proprietary algorithms from the Services;
  • Resell, sublicense, or distribute data obtained from BIGDBM to any third party without BIGDBM's prior written consent;
  • Scrape, crawl, or systematically download data from BIGDBM's website or APIs beyond what is expressly permitted;
  • Interfere with or disrupt the integrity, performance, or availability of the Services or any underlying infrastructure;
  • Use the Services to build a competing product or service; or
  • Use the data for any purpose that violates applicable law, including without limitation the Fair Credit Reporting Act (FCRA), the Gramm-Leach-Bliley Act (GLBA), the Health Insurance Portability and Accountability Act (HIPAA), or any similar statute.

Important: BIGDBM's data products are not consumer reports as defined by the FCRA and may not be used for any FCRA-permissible purpose, including credit, insurance underwriting, employment screening, or tenant screening.

7.Intellectual Property

All content, software, data, technology, algorithms, trademarks, logos, and other materials comprising or made available through the Services ("BIGDBM IP") are the exclusive property of BIGDBM or its licensors and are protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any ownership interest in BIGDBM IP.

You are granted no rights in BIGDBM IP except the limited license expressly set forth in Section 5. Any use of BIGDBM IP beyond the scope of that license is strictly prohibited and may constitute infringement of BIGDBM's intellectual property rights.

You retain ownership of any data or content you provide to BIGDBM in connection with the Services ("Customer Data"). By providing Customer Data, you grant BIGDBM a limited, non-exclusive license to process Customer Data solely as necessary to provide the Services and as set forth in these Terms and any applicable MSA.

8.Data & Privacy

Your use of the Services is subject to BIGDBM's Privacy Policy. You agree that BIGDBM may collect, process, and use information about you and your use of the Services in accordance with that policy.

Where BIGDBM processes personal information on your behalf as a service provider or processor, the terms of any applicable Data Processing Agreement or MSA will govern. You are responsible for ensuring that your use of BIGDBM's data products complies with all applicable privacy laws, including obtaining any required consents and honoring all consumer rights requests.

You acknowledge that BIGDBM collects, processes, and makes available personal information as described in the Privacy Policy and that BIGDBM operates as a data broker in certain jurisdictions. You agree to use any personal information obtained through the Services only in accordance with applicable law and these Terms.

9.Payment Terms

Fees for the Services are as set forth in the applicable order form, statement of work, or MSA. Unless otherwise agreed in writing:

  • All fees are due and payable within thirty (30) days of the invoice date;
  • All fees are non-refundable except as expressly provided in writing;
  • BIGDBM reserves the right to suspend access to the Services for any account with overdue balances;
  • Late payments will accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) from the due date until the date of payment; and
  • You are responsible for all applicable taxes, levies, and duties associated with your purchase, excluding taxes on BIGDBM's net income.

BIGDBM may modify its pricing at any time with thirty (30) days' prior written notice. Your continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

10.Confidentiality

"Confidential Information" means any non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Each party agrees to:

  • Hold the other party's Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, but in no event less than reasonable care;
  • Use the other party's Confidential Information solely to exercise its rights and fulfill its obligations under these Terms; and
  • Not disclose the other party's Confidential Information to any third party without prior written consent, except to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations no less restrictive than these Terms.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the Receiving Party prior to disclosure; (c) was independently developed by the Receiving Party without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives the Disclosing Party prompt written notice and reasonably cooperates in seeking a protective order.

11.Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIGDBM EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BIGDBM does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) any data provided through the Services will be accurate, complete, or current; or (c) any errors in the Services will be corrected. While BIGDBM maintains quality control procedures to maximize data accuracy, the nature of third-party sourced data means that inaccuracies may exist.

BIGDBM maintains data accuracy procedures as described in our Privacy Policy and uses proprietary technology to evaluate and improve the accuracy of information in our products. Nonetheless, you acknowledge that no data provider can guarantee 100% accuracy and that you bear sole responsibility for verifying any information before acting on it.

12.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BIGDBM OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — including but not limited to loss of profits, revenue, goodwill, data, or business opportunities — arising out of or related to these Terms or your use of the Services, even if BIGDBM has been advised of the possibility of such damages.

BIGDBM's total cumulative liability to you arising out of or related to these Terms or the Services — whether in contract, tort (including negligence), strict liability, or otherwise — will not exceed the greater of: (a) the total fees paid by you to BIGDBM in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, BIGDBM's liability will be limited to the maximum extent permitted by law.

13.Indemnification

You agree to indemnify, defend, and hold harmless BIGDBM and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services or any data obtained through the Services;
  • Your breach of these Terms or any applicable law or regulation;
  • Your violation of any third party's rights, including intellectual property rights or privacy rights;
  • Any Customer Data you provide to BIGDBM; or
  • Any claim by a consumer arising from your use of BIGDBM data in connection with marketing, advertising, or other communications directed to that consumer.

BIGDBM reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with BIGDBM in asserting any available defenses.

14.Termination

BIGDBM may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if BIGDBM reasonably believes you have violated these Terms. You may terminate your use of the Services at any time by ceasing to access them and providing written notice to BIGDBM.

Upon termination for any reason:

  • Your license to use the Services terminates immediately;
  • You must promptly destroy or return all BIGDBM data and Confidential Information in your possession, unless retention is required by applicable law;
  • All provisions of these Terms that by their nature should survive termination will survive, including without limitation Sections 6 (Prohibited Use), 7 (Intellectual Property), 10 (Confidentiality), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law).

15.Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida for the resolution of any disputes not subject to arbitration under Section 16.

16.Dispute Resolution

Most concerns can be resolved quickly and to your satisfaction by contacting BIGDBM at legal@bigdbm.com. For any dispute that cannot be resolved informally:

Binding Arbitration

Except for claims for injunctive or other equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in English in Miami-Dade County, Florida, or at a mutually agreed location. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND BIGDBM EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both you and BIGDBM waive any right to a jury trial.

Time Limitation

Any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

17.Changes to These Terms

BIGDBM reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Services and, if applicable, provide written notice of termination to BIGDBM.

Miscellaneous

These Terms, together with any applicable MSA, order form, or statement of work, constitute the entire agreement between you and BIGDBM with respect to the Services and supersede all prior and contemporaneous understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. BIGDBM's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without BIGDBM's prior written consent. BIGDBM may freely assign its rights and obligations hereunder.
